Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Neural Helix website, publications, software, downloads, applications, consulting offerings, automation services, and related materials (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Services.
1. Acceptance of Terms
By visiting this website, accessing any Neural Helix publication, downloading any Neural Helix software, engaging any Neural Helix service, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced in them.
These Terms apply whether you are browsing public content, using free materials, accessing paid materials, requesting consulting help, downloading software, or interacting with any Neural Helix-operated application, portal, or automation interface.
2. Eligibility and Authority
You represent and warrant that you are legally capable of entering into a binding agreement and, if you are using the Services on behalf of a business or other organization, that you have the authority to bind that entity to these Terms.
If you do not have the required authority, you may not use the Services on behalf of that organization.
3. Nature of the Services
The Services may include, without limitation:
- Editorial content, reviews, buying guides, comparisons, and educational publications
- Software tools, downloadable utilities, beta applications, and related updates
- Automation, consulting, implementation, and configuration services
- Software-enabled workflows, business process support, and integration recommendations

Neural Helix may modify, expand, limit, replace, or discontinue any part of the Services at any time, with or without notice.
4. No Professional Advice
Unless expressly stated otherwise in a separate signed agreement, the Services are provided for general informational, operational, or business-use purposes only and do not constitute legal, medical, accounting, tax, insurance, employment, cybersecurity certification, or regulatory compliance advice.
You are solely responsible for obtaining independent professional advice where appropriate.
5. Accounts, Access, and Credentials
Certain Services may require credentials, licenses, API keys, account logins, or access tokens. You are responsible for maintaining the confidentiality and security of your credentials and for all activity occurring under your accounts unless prohibited by law.
You agree to provide accurate information and to notify Neural Helix promptly of any unauthorized access, suspected compromise, or misuse of credentials related to the Services.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, contract, or third-party right
- Interfere with, disrupt, probe, or compromise systems, networks, or accounts without authorization
- Distribute malware, harmful code, deceptive materials, or unauthorized surveillance tools
- Misrepresent your identity, affiliation, authority, or use case
- Use Neural Helix content or software in a way that is fraudulent, abusive, defamatory, or unlawful
- Attempt to reverse engineer, bypass, disable, or undermine licensing, access control, or service limitations except as permitted by applicable law
Neural Helix may suspend or terminate access where use appears unlawful, abusive, dangerous, or materially inconsistent with the intended use of the Services.
7. Affiliate and Sponsorship Disclosure
Some Neural Helix pages contain affiliate links, sponsorship references, referral links, or compensated recommendations. Neural Helix may receive commissions or other compensation if you click a link, create an account, or purchase a product or service through those links.
Such compensation does not automatically change the price you pay, but it may create a commercial relationship between Neural Helix and the third party being referenced.
You remain solely responsible for evaluating whether any third-party product, software, or service is suitable for your own needs.
8. Software, Downloads, and Beta Tools
Neural Helix may offer software tools, installers, utilities, applications, patches, or beta releases. Unless expressly governed by a separate end user license agreement, Neural Helix grants you a limited, non-exclusive, non-transferable, revocable license to use such software for its intended purpose, subject to these Terms.
Important software conditions
- Software may contain bugs, errors, incomplete features, or compatibility limitations
- Beta or pre-release software may be unstable or unsuitable for critical use
- You are responsible for backing up systems, settings, and data before using software that modifies configurations or files
- You use downloadable tools at your own risk
Neural Helix may update, disable, replace, or discontinue software offerings at any time.
9. Client Services and Consulting
If you engage Neural Helix for consulting, implementation, automation, integration, or custom work, additional project-specific terms may apply, including project scope, payment schedule, deliverables, acceptance criteria, support boundaries, confidentiality, and ownership of work product.
In the event of a conflict between these Terms and a separately executed written agreement, the written agreement will control for that project.
10. Payments, Fees, and Refunds
Paid Services, software, subscriptions, or consulting engagements may require advance payment, milestone payment, recurring billing, or one-time fees.
Unless otherwise stated in writing:
- All fees are quoted in U.S. dollars
- Payments are due when stated at checkout, invoice, or agreement stage
- Late or failed payments may result in delayed work, suspension, or termination of access
- Refunds are not guaranteed unless required by law or expressly stated in writing
Digital products, downloadable files, software licenses, and custom work are generally non-refundable once delivered, accessed, or materially performed, except where required by law.
11. Intellectual Property
The Services, including site design, branding, copy, graphics, editorial content, downloadable materials, and software, are owned by Neural Helix or its licensors and are protected by applicable intellectual property laws.
Except as expressly permitted in writing, you may not reproduce, republish, distribute, publicly display, sublicense, sell, or create derivative works from Neural Helix materials for commercial use.
12. User Content and Feedback
If you submit messages, inquiries, feedback, requests, bug reports, feature suggestions, or other content to Neural Helix, you represent that you have the right to submit that content and that doing so does not violate any third-party rights.
Unless otherwise agreed in writing, you grant Neural Helix a non-exclusive, worldwide, royalty-free right to use, reproduce, adapt, and incorporate your feedback or suggestions for the purpose of improving products and services, without any obligation to compensate you.
13. Third-Party Services and Links
The Services may reference, integrate with, or link to third-party websites, APIs, platforms, payment processors, app stores, hosting services, software providers, affiliate networks, or external tools.
Neural Helix does not control and is not responsible for the content, availability, policies, or practices of those third parties. Your use of third-party services is governed by their own terms and policies.
14. Availability, Changes, and Suspension
Neural Helix does not guarantee that the Services will be uninterrupted, error-free, secure, or available at all times. Services may be modified, suspended, rate-limited, discontinued, or restricted at any time for maintenance, technical, legal, security, business, or operational reasons.
Neural Helix is not liable for any inability to access or use the Services resulting from outages, provider changes, third-party failures, force majeure events, or infrastructure issues.
15. Disclaimers and No Warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.
Neural Helix disclaims all implied warranties including, without limitation, merchantability, fitness for a particular purpose, non-infringement, title, compatibility, reliability, and any warranty arising from course of dealing or usage of trade.
Neural Helix does not warrant that the Services will meet your requirements, produce any specific business result, remain continuously available, or be free of bugs, delays, downtime, inaccuracies, or security vulnerabilities.
16. Limitation of Liability
To the fullest extent permitted by law, Neural Helix and its owners, operators, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, contracts, goodwill, use, data, opportunities, or anticipated savings, arising out of or related to the Services.
To the maximum extent permitted by law, the total aggregate liability of Neural Helix for any claim arising out of or relating to the Services will not exceed the greater of:
- the amount you paid Neural Helix for the specific Service giving rise to the claim in the twelve months preceding the event, or
- one hundred U.S. dollars (US $100)
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold harmless Neural Helix and its owners, operators, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your use or misuse of the Services
- your violation of these Terms
- your violation of any law or third-party right
- any content, credentials, or materials you provide
18. Termination
Neural Helix may suspend or terminate your access to all or part of the Services at any time, with or without notice, if it reasonably believes that you have violated these Terms, created legal or security risk, abused the Services, or used the Services in a manner inconsistent with their intended purpose.
Upon termination, any rights granted to you under these Terms will cease immediately, except for provisions that by their nature should survive termination.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of the applicable state and federal jurisdiction in which Neural Helix operates, without regard to conflict of law rules.
Any dispute arising out of or relating to these Terms or the Services shall be brought in a court of competent jurisdiction, subject to any mandatory legal rights that may apply to you under applicable law.
